Precautions for Use of Website

Article 1 Scope of Application
  1. These “Precautions for Use of Website” (the "Precautions") summarize matters which users (each, a "user" or "you") are requested to note and comply with when using the Website (as defined below) among other matters concerning the provision of Services (as defined below) by Himawari Partners, Inc. (the "Company") and the use of Website by users. These Precautions are subject to change without advance notice. Please kindly check them every time you use the Website.
  2. By accessing and using the Website (as defined below), you shall be deemed to have agreed to these Precautions.
  3. These Precautions shall be treated as the “Rules, etc.” defined by such “Terms of Use of Services” that are posted from time-to-time by the Company on the Website (as defined below) and applicable to you and constitute a part of such Terms.
Article 2 Definitions
As used herein, the following Precautions shall have the following meanings respectively:
  1. "Website" means the website at "Himawari M&A Space (https://himawari-ma5.net/) " operated by the Company (if the domain, name or any of content is changed for any reason whatsoever, Website includes the website which has been changed).
  2. "Services" means any and all services provided on the Website (if the name or any of content, etc. is changed, for any reason whatsoever the Services include the services which have been changed).
Article 3 Restrictions
You shall not commit any act which falls within any of the following subparagraphs with respect to the use of the Services:
  1. Any act in violation of laws or regulations, etc., or any act related to a crime;
  2. Any fraudulent or threatening act against the Company, any other user of the Services or any third party;
  3. Any act that is against public order and morals;
  4. Any act which infringes, or may infringe, any Intellectual Property Right, portrait right, privacy, reputation or any other right or interest of the Company, any other user of the Services or any third party;
  5. Any act of transmitting, etc. through the Services to the Company or any other user of the Services any information which falls within or the Company has decided falls within any of the followings:
    1. Any information containing a violent or cruel expression;
    2. Any information containing a harmful computer program such as a computer virus;
    3. Any information containing an expression which damages, or may damage, the honor or credit of the Company, any other user of the Services or any third party;
    4. Any information containing an expression which attract or promote discrimination;
    5. Any information containing an anti-social expression;
    6. Any information seeking to spread it to third parties such as a chain mail; or
    7. Any information containing an expression that is offensive to others;
  6. Any act which overloads, or may overload, the network or system, etc. for the Services;
  7. Any act which interferes, or may interfere, with the operation of the Services;
  8. Any act to unlawfully access, or attempt to unlawfully access the network or system, etc. providing the Services;
  9. Any act of impersonating a third party;
  10. Any act of using an ID or password of any other user of the Services;
  11. Any act of advertising, publishing, soliciting or marketing through the Services which is contrary to the intent of the Services;
  12. Any act which causes, or may cause, disadvantage, damage or discomfort, etc. to the Company, any other user of the Services or any third party;
  13. Any act of providing an Anti-Social Force with benefits;
  14. Any act that directly or indirectly causes or facilitates any of the foregoing acts; or
  15. Any act that the Company has decided inappropriate.
Article 4 Disclaimer and No Warranty
  1. You acknowledge that the Company does not warrant that (i) the Services are fit for any particular purpose of you; (ii) that the Services have expected functions, commercial value, accuracy or usefulness; (iii) that your use of the Services complies with applicable laws and regulations, etc.; (iv) that the Services can be used without any trouble; or (v) that any information and materials, etc. provided through the Services are true, complete or comprehensive. You shall use the Services at its own responsibility based on its own final decision and at its own risk.
  2. With respect to providing the Services, the Company shall not, whether a breach of contract, tout or otherwise, have any liabilities, including liabilities for damage, to you and any third party for any reason whatsoever, including a defect in a network or system; any failure of Internet environment; suspension, interruption, abolishment or change of the provision of the Services by the Company, or unavailability of the Services, loss of data, breakdown or damage of a device caused by the use of the Services, and you shall release the Company from any liabilities.
  3. The Company shall not have any liability for any transaction, contract, communication, negotiation, discussion, or dispute, etc. between you and any other user or third party arising in connection with the Services.
  4. The Company shall not have any liability for any website or information available on such website other than the Website, even if there is a link from the Website to such other website or vice versa.
Article 5 Personal Information Protection Policy
The handling of personal information of users by the Company shall be in accordance with its Personal Information Protection Policy(https://himawari-partners.co.jp/privacy/）. You shall be deemed to have agreed that the Company will handle personal information of users according to such policy.
Article 6 Ownership of Intellectual Property Rights
The Company or a licensor who grants a license to the Company owns all Intellectual Property Rights with respect to the Services.
Article 7 Language
The Japanese version of these Terms shall be the official version of these Terms and in the event of any conflict in interpretation between the Japanese version thereof and English version, the Japanese version shall prevail.

  1. 本注意書は、ひまわりパートナーズ株式会社（以下、「当社」といいます。）の提供する本サービスの提供条件及びその利用に関する事項について、ユーザーの皆様が、当社ウェブサイトを利用するに際して、ご注意及びご遵守いただきたい内容をまとめたものです。なお、本注意書は、予告なく変更することがありますので、ご利用の都度、ご確認いただきますようお願いいたします。

    4. 差別を誘引又は助長する表現を含む情報
    5. 反社会的な表現を含む情報
    6. チェーンメールその他の第三者への情報の拡散を求める情報
    7. 他人に不快感を与える表現を含む情報
  6. 本サービスのネットワーク若しくはシステム等に過度な負荷をかける又はそのおそれのある行為
  7. 本サービスの運営を妨害する又はそのおそれのある行為
  8. 本サービスを提供するネットワーク若しくはシステム等に不正にアクセスする又は不正なアクセスを試みる行為
  9. 第三者に成りすます行為
  10. 本サービスの他の利用者のID又はパスワードを利用する行為
  11. 本サービス上での本サービスの趣旨に反する宣伝、広告、勧誘又は営業行為
  12. 当社又は本サービスの他の利用者その他の第三者に不利益や損害、不快感等を与える又はそのおそれのある行為
  13. 反社会的勢力への利益供与行為
  14. 前各号の行為を直接又は間接に惹起する又は容易にする行為
  15. その他、当社が不適切と判断する行為
第４条 （免責及び非保証）
  1. ユーザーは、本サービスがユーザーの特定の目的に適合すること、期待する機能、商品的価値、正確性若しくは有用性を有すること、ユーザーによる本サービスの利用がユーザーに適用のある法令諸規則等に適合すること、本サービスの利用に不具合が生じないこと、又は本サービスを通じて提供される各種情報、資料等が真実性、完全性若しくは網羅性を有することのいずれについても当社が何ら保証するものではないことを確認し、自己の最終的な判断及びその危険負担に基づいて、自己の責任において本サービスを利用することとします。

第５条 （個人情報保護方針）
当社によるユーザーの個人情報の取扱いについては、別途当社の定める個人情報保護方針（https://himawari-partners.co.jp/privacy/）によるものとし、ユーザーは、当社が当該方針に従ってユーザーの個人情報を取り扱うことに同意したものとします。
第６条 （知的財産権の帰属）
本サービスに関する知的財産権は、全て当社又は当社にその利用を許諾した者に帰属するものとします。
